These Terms and Conditions (“Terms”) govern the use of the services provided by Eumaxindia Outdoor Marketing and Advertisement (“Eumaxindia,” “we,” “us,” or “our”).
By using our services, you agree to be bound by these Terms.
Services
Eumaxindia provides outdoor marketing and advertising services, including but not limited to:
Billboards and signage placement
Transit advertising (buses, trains, etc.)
Street furniture advertising
Mobile advertising
Out-of-home (OOH) campaign planning and execution
Client Responsibilities
You are responsible for providing Eumaxindia with all necessary information and materials for your advertising campaign, including artwork, logos, and copy.
You warrant that you have all necessary rights and permissions to use the materials provided for your campaign.
You will comply with all applicable laws and regulations regarding your advertising campaign.
You will pay Eumaxindia for its services in accordance with the agreed-upon payment terms.
Eumaxindia Responsibilities
Eumaxindia will use commercially reasonable efforts to secure the placement of your advertising campaign according to your specifications.
Eumaxindia will provide you with regular updates on the progress of your campaign.
Eumaxindia will maintain all confidential information you provide in a secure manner.
Fees and Payment
Fees for Eumaxindia’s services will be agreed upon in writing before the commencement of any work.
Payment terms will be specified in the written agreement. Late payments may be subject to interest charges.
Term and Termination
The term of these Terms will commence on the date you first use Eumaxindia’s services and will continue until terminated by either party upon written notice.
Eumaxindia may terminate these Terms immediately if you breach any of its provisions.
You may terminate these Terms at any time upon written notice to Eumaxindia, but you will be responsible for payment for all services rendered up to the date of termination.
Warranties and Disclaimers
Eumaxindia disclaims all warranties, express or implied, including but not limited to warranties of merchantability and fitness for a particular purpose.
Eumaxindia does not warrant the effectiveness of your advertising campaign or the results you will achieve.
You agree to indemnify and hold harmless Eumaxindia from any and all claims, losses, damages, and expenses
(including attorneys’ fees) arising out of or related to your use of Eumaxindia’s services.
Limitation of Liability
Eumaxindia’s liability to you for any cause whatsoever, and regardless of the form of the action, will be limited to the amount paid by you for Eumaxindia’s services.
Eumaxindia will not be liable for any indirect, incidental, consequential, or punitive damages.
Force Majeure
Eumaxindia will not be liable for any delay or failure to perform its
obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, strikes, or natural disasters.
Intellectual Property
Eumaxindia owns all intellectual property rights in its website and materials.
You may not use any of Eumaxindia’s intellectual property without its prior written consent.
Governing Law
These Terms will be governed by and construed in accordance with the laws of India.
Dispute Resolution
Any dispute arising out of or relating to these Terms will be settled by binding arbitration in
accordance with the rules of a reputable arbitration service provider selected by Eumaxindia. The arbitration will be held in Chennai, India.
Entire Agreement
These Terms constitute the entire agreement between you and Eumaxindia with
respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision will be struck and the remaining provisions will
remain in full force and effect.
Amendment
Eumaxindia may amend these Terms at any time by posting the amended terms on its website. You are responsible for periodically reviewing the Terms.
Your continued use of Eumaxindia’s services after the posting of amended Terms will constitute your acceptance of the amended Terms.
